    Introduction

    1.1 These Terms of Use ("Terms") govern access to and use of the CommercialUK platform ("Platform"), operated by CommercialUK Ltd ("CommercialUK", "we", "us", "our").

    1.2 The Platform provides a digital marketplace for commercial property listings within the United Kingdom, facilitating connections between property owners, agents, investors, and businesses.

    1.3 CommercialUK does not act as an estate agent, broker, or fiduciary for any user and is not a party to any transaction between users.

    Acceptance of Terms

    2.1 By accessing or using the Platform, you confirm that:

    (a) you are at least 18 years of age;
    (b) you have the legal capacity to enter into binding agreements; and
    (c) you agree to be bound by these Terms.

    2.2 If you do not agree to these Terms, you must cease using the Platform immediately.

    Variation of Terms

    3.1 CommercialUK reserves the right to amend these Terms at any time.

    3.2 Updated Terms shall take effect upon publication on the Platform. Continued use of the Platform constitutes acceptance of the revised Terms.

    User Accounts

    4.1 Certain features of the Platform require account registration.

    4.2 You agree to:

    (a) provide accurate, complete, and up to date information;
    (b) maintain the confidentiality of your login credentials;
    (c) accept responsibility for all activities conducted under your account.

    4.3 Accounts are personal and non transferable.

    4.4 We reserve the right to suspend or terminate accounts where there is:

    (a) breach of these Terms;
    (b) misuse of the Platform; or
    (c) suspected unauthorised or fraudulent activity.

    Listings and Platform Content

    5.1 Property listings and related content are submitted by third parties, including property owners, agents, and advertisers.

    5.2 CommercialUK does not verify all listings and makes no representation or warranty as to the accuracy, completeness, or reliability of any content.

    5.3 Users acknowledge that:

    (a) all reliance on listings is at their own risk;
    (b) independent verification and professional advice should be obtained before entering into any transaction.

    Submission of Content and Licence

    6.1 By submitting content to the Platform, you warrant that:

    (a) you are the legal owner or authorised representative of the property;
    (b) all information provided is accurate, lawful, and not misleading;
    (c) you have obtained all necessary consents and permissions.

    6.2 You grant CommercialUK a non exclusive, worldwide, royalty free licence to use, reproduce, distribute, and display such content for the purposes of operating and promoting the Platform.

    User Obligations

    7.1 Property Owners and Agents shall:

    (a) ensure compliance with all applicable laws and regulations, including property and advertising laws;
    (b) provide accurate and up to date information;
    (c) promptly update any material changes to listings.

    7.2 Investors and Other Users shall:

    (a) undertake their own due diligence;
    (b) obtain independent legal, financial, or professional advice where appropriate;
    (c) verify all information before entering into agreements.

    Acceptable Use

    8.1 You agree not to:

    (a) submit false, misleading, defamatory, or unlawful content;
    (b) introduce viruses, malware, or harmful code;
    (c) use automated systems (including bots, scrapers, or crawlers) without prior written consent;
    (d) collect or harvest personal data without lawful basis;
    (e) interfere with the operation or security of the Platform.

    Fees and Payments

    9.1 CommercialUK may charge fees for listings, subscriptions, or premium services.

    9.2 All fees:

    (a) shall be clearly communicated before purchase;
    (b) are exclusive of VAT unless stated otherwise;
    (c) are non refundable except where required by law or expressly stated.

    Intellectual Property

    10.1 All intellectual property rights in the Platform, including software, content, trademarks, and design, are owned by or licensed to CommercialUK.

    10.2 You may use the Platform for internal business or personal purposes only.

    10.3 You shall not reproduce, distribute, modify, or commercially exploit any part of the Platform without prior written consent.

    10.4 You retain ownership of content submitted by you, subject to the licence granted under Clause 6.

    Data Protection

    11.1 CommercialUK processes personal data in accordance with applicable data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018.

    11.2 By using the Platform, you consent to such processing as described in the CommercialUK Privacy Policy.

    11.3 You agree to comply with all applicable data protection laws when submitting or handling personal data via the Platform.

    Third Party Links

    12.1 The Platform may contain links to third party websites or services.

    12.2 CommercialUK has no control over and accepts no responsibility for third party content, services, or practices.

    Disclaimer

    13.1 The Platform is provided on an "as is" and "as available" basis.

    13.2 To the fullest extent permitted by law, CommercialUK excludes all warranties, representations, or conditions, whether express or implied.

    13.3 CommercialUK does not provide legal, financial, or investment advice.

    Limitation of Liability

    14.1 Nothing in these Terms shall limit or exclude liability for:

    (a) death or personal injury caused by negligence;
    (b) fraud or fraudulent misrepresentation; or
    (c) any liability which cannot be excluded under applicable law.

    14.2 Subject to Clause 14.1, CommercialUK shall not be liable for:

    (a) indirect or consequential losses;
    (b) loss of profits, revenue, or business opportunity;
    (c) loss of data or business interruption.

    15

    Termination

    15.1 CommercialUK may suspend or terminate your access to the Platform immediately where:

    (a) you are in breach of these Terms;
    (b) your use poses a risk to the Platform or other users;
    (c) required by law or regulatory obligation.

    15.2 You may terminate your account at any time.

    15.3 Termination shall not affect accrued rights or obligations.

    International Use

    16.1 The Platform is operated within the United Kingdom.

    16.2 Personal data may be processed within the UK or the European Economic Area (EEA). Transfers outside these jurisdictions shall be subject to appropriate safeguards.

    Governing Law and Jurisdiction

    17.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

    17.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

    18

    General

    18.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the parties.

    18.2 Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    18.3 Waiver: No failure or delay in exercising any right shall constitute a waiver of that right.

    NDA Acknowledgement

    By signing up on the website commercialuk.co.uk, you confirm that you have entered into a Non Disclosure Agreement with CommercialUK and acknowledge that access to certain confidential information may be subject to its terms.
